I am trying to decide on taking some free shares or to wait for something closer to $1.25 but I think I have some time as the MOU should give pretty good resistance around $.70

Actually $5 is conservative. Using other potash players trading ranges/estimates with a dilution of 800 million shares and potash prices being around $1000/ton using just phase 1 production puts it around $11.25 on the high end.

A report which I find interesting had a few sentences on MagIndustries yesterday:

MagIndustries Corp. (TSX VENTURE:MAA) had to find 160 million CAD to get a 800 million loan from BNP Paribas. MagIndustries announced a fund-raising last Friday priced 20% higher than the stock was at the closing bell.
A Chinese private holding intends to subscribe for 400 million MagIndustries shares and thus acquires a majority ofthe shares at a price of 0.70CAD.
The requirement of equity is now in place, and they can start renegotiating with the banks on financing for their Potash project that could generate 1.2 million tonnes per year.
It remains questionable whether the major shareholder will leave MagIndustries in public hands, since fertilizers are of strategic importance for China.

It's a crappy deal for anyone looking at the long term potential and the total exploration area in addition to just the current planned projects.

They could still do a substantial offering to raise the funds or investigate other avenues such as even a JV arrangement with this consortium. The end goal by the Chinese is obvious and eventually would most likely be taking it private before any current shareholder can maximize the full share value.

The total numbers are actually $300 million required by Mag to satisfy the debt equity ratio and they would receive the financing from the syndicate of lenders. That figure includes money spent and being spent on the project.

If the Chinese weren't interested in taking the company over they would have made an offer for 200 or 300 million shares. This would have assured them representation on the board. Frankly, I could even accept a discounted price to market (10% max) on up to 20% of production in forming a JV deal. The lower cost and shipping rates would offset most of that.

The Chinese consortium who have a memorandum of understanding with Magindustries are free traders so I doubt that they would attempt to go private on this deal when there is huge upside on the open market. 54 year life span for the potash mine @ 600,000 tonnes per year production is a lot of yuan in anyones language. I'm in @ 0.51 and can see a near term target price of $1.00 mrdbldub
