The tender offer is being made on the terms and subject to the conditions set forth in the Offer to Purchase dated October 13, 2016 (the “Offer to Purchase“) and the related Letter of Transmittal.
The offer to purchase will expire at 9:00 A.M., New York City time, on November 10, 2016 unless extended at the Company’s sole discretion (such time and date, as the same may be extended, the “Expiration Time“). Holders of Notes (“Holders“) must tender their Notes on or before 5:00 P.M., New York City time, on October 26, 2016, unless extended (such time and date, as the same may be extended, the “Early Tender Deadline“), in order to receive the Total Consideration (as defined below). The Offer to purchase is subject to the satisfaction or waiver of certain conditions as described in the Offer to Purchase, including the satisfaction of the Refinancing Condition (as defined in the Offer to Purchase).
